Terms of Service
1.1 Overview and acceptance
This website is operated by Heilongjiang Hongding Technology Co., Ltd., trading as BANNOIC (collectively, “BANNOIC,” “we,” “us,” or “our”). BANNOIC provides this website, its content, account features, customer support, products, and related services (the “Services”). Our online store is hosted by Shopify, which provides the e-commerce platform used to offer products and Services to you.
By visiting bannoic.com, creating an account, submitting measurements or customization details, placing an order, or otherwise using the Services, you agree to these Terms of Service and all policies incorporated by reference. If you do not agree, do not use the Services.
You must be at least the age of majority in your place of residence, or use the Services with the involvement and permission of a parent or legal guardian. You may not use the Services for an unlawful or unauthorized purpose.
1.2 Changes to these Terms
We may update these Terms to reflect changes to our Services, business practices, or legal requirements. The “Last updated” date identifies the latest revision. Changes apply prospectively when posted unless applicable law requires additional notice or consent. Material changes will be communicated where legally required.
1.3 Product information
We make reasonable efforts to describe and display products accurately. Colors, textures, opacity, weave, finish, and scale may appear differently depending on screen settings, lighting, photography, and natural material variation. Samples are illustrative and production lots may vary slightly.
Product dimensions, compatibility, smart-home platform support, radio protocols, battery life, motor performance, noise levels, and other specifications may change or vary by configuration. You are responsible for reviewing the product page, measuring instructions, compatibility requirements, installation requirements, and all selected options before ordering.
Images, room scenes, renderings, and diagrams may include accessories or décor not included with the product. Measurements and estimated coverage are not guarantees unless expressly confirmed by us in writing.
1.4 Custom and made-to-order products
Many BANNOIC products may be manufactured or configured according to measurements, fabric, color, motor, control type, mounting method, power option, or other selections supplied or approved by you. Such products are “Custom Products.”
You are responsible for:
- providing complete and accurate measurements and specifications;
- following the current BANNOIC measuring guide applicable to the selected product;
- accounting for obstructions, handles, trim, depth, clearance, power access, and mounting surfaces;
- selecting compatible controls, hubs, power supplies, and smart-home systems; and
- reviewing the entire order confirmation promptly.
Unless BANNOIC made a documented production error, a Custom Product made according to your submitted order is not defective merely because it does not fit, does not match an unverified expectation, or is incompatible with equipment not listed as supported.
1.5 Orders and contract formation
Your order is an offer to purchase. An automated acknowledgment confirms receipt but does not necessarily constitute acceptance. We may verify payment, address, product availability, measurements, configuration, fraud risk, or other order details before accepting an order.
We may reject, limit, place on hold, or cancel an order for reasons including suspected fraud, pricing or listing errors, unavailable materials, unsupported delivery destinations, prohibited resale, payment failure, regulatory restrictions, or inability to manufacture the selected configuration. If we cancel an accepted order before shipment, we will refund the amount paid for the canceled item.
1.6 Order review, changes, and cancellations
Review your confirmation immediately. Submit any correction or cancellation request to bannoic@service.com as soon as possible. A request is not effective until BANNOIC confirms it in writing.
Custom Products may enter production shortly after an order is accepted. Once production, cutting, programming, assembly, or procurement has begun, the order generally cannot be changed or canceled. If a change is still possible, additional charges and a revised delivery estimate may apply. Non-custom orders may be canceled only before fulfillment begins.
1.7 Prices, taxes, duties, and promotions
Prices may change without notice. The price charged is the price shown at checkout, subject to correction of obvious errors. Unless expressly stated, prices exclude applicable sales tax, VAT/GST, customs duties, brokerage, import fees, installation, and optional services.
The checkout page will indicate whether duties or taxes are collected in advance. If not collected, the recipient is responsible for charges assessed by local authorities or carriers. Refusal to pay such charges does not automatically entitle the customer to a full refund; actual return, duty, brokerage, and handling costs may be deducted where lawful.
Promotions may have separate eligibility rules, expiration dates, product exclusions, minimum purchase amounts, and limits. Promotions cannot be combined unless expressly permitted. We may cancel discounts obtained through misuse, technical error, or fraud.
1.8 Payment
Available payment methods are displayed at checkout and may vary by country, device, currency, and order value. Payments may be processed by Shopify Payments, PayPal, card networks, digital-wallet providers, installment providers, or other third parties. Their own terms and privacy practices also apply.
You represent that you are authorized to use the selected payment method. We may obtain authorization for the full order amount and may charge when the order is accepted, enters production, or ships, as disclosed at checkout. Currency conversion fees and issuer charges are your responsibility.
Installment or financing products, if offered, are provided by third parties. Approval, interest, fees, repayment, credit decisions, and lending disclosures are controlled by the provider, not BANNOIC.
1.9 Shipping and delivery
Shipping dates are estimates, not guarantees. Production time and carrier transit time are separate. Risk of loss and title pass as provided by applicable law and the selected shipping terms. You must provide a complete deliverable address and monitor tracking.
Inspect packages promptly. Follow the Shipping Policy and Return & Refund Policy for lost, damaged, missing, or incorrect items. Do not discard packaging or shipping labels until the order has been inspected and any issue resolved.
1.10 Installation, operation, and safety
Products must be measured, installed, charged, connected, operated, maintained, and used according to the applicable instructions and safety warnings. Installation requires suitable mounting surfaces and may require qualified professional assistance. Electrical or hardwired work must be performed by a licensed professional where required by law.
Keep cords, chains, remotes, batteries, small parts, and packaging away from children and pets. Use all supplied child-safety devices. Do not modify motors, batteries, wiring, brackets, firmware, or safety components. BANNOIC is not responsible for damage or injury caused by incorrect measurement, unsuitable mounting surfaces, improper installation, unauthorized modification, misuse, or failure to follow instructions, except to the extent liability cannot lawfully be excluded.
Smart features may rely on electricity, batteries, wireless networks, third-party hubs, mobile apps, cloud services, voice assistants, firmware, and platform availability. Temporary interruption, latency, or loss of third-party compatibility is not necessarily a product defect. Never rely on a connected window covering as a safety, security, fire-protection, medical, or emergency system.
1.11 Accounts
You are responsible for maintaining the confidentiality of account credentials and for activity under your account. Notify us promptly of suspected unauthorized access. We may suspend or terminate accounts used for fraud, abuse, prohibited resale, interference with the Services, or violation of these Terms.
1.12 Reviews, photographs, and user content
If you submit reviews, photographs, videos, comments, ideas, or other content (“User Content”), you retain ownership but grant BANNOIC a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, translate, distribute, and display that content for operating, improving, and promoting the Services, subject to applicable privacy and publicity laws.
You represent that you have the necessary rights and that the content is truthful, lawful, and does not infringe third-party rights. We may moderate or remove content, but are not obligated to do so. We will not use a person’s image in advertising where consent is legally required unless appropriate permission has been obtained.
1.13 Intellectual property
The Services and their text, graphics, photographs, video, designs, logos, product names, software, and other content are owned by or licensed to BANNOIC and protected by intellectual-property laws. Except for personal, non-commercial use, you may not copy, modify, scrape, reproduce, distribute, sell, reverse engineer, or exploit the Services without written permission.
1.14 Prohibited uses
You may not use the Services to violate law; infringe rights; submit false information; distribute malware; interfere with security or operation; collect information about others without authorization; scrape or crawl in a manner that burdens the Services; impersonate another person; engage in fraud, harassment, or discrimination; evade purchase restrictions; or resell products where BANNOIC has expressly prohibited resale.
1.15 Third-party services and links
The Services may link to or interoperate with third-party websites, apps, devices, payment services, carriers, installers, smart-home platforms, and voice assistants. Third parties operate independently under their own terms. BANNOIC does not control and is not responsible for third-party services, outages, security, changes, content, or conduct, except as required by law.
1.16 Disclaimer of warranties
Except for any express written warranty and rights that cannot be excluded under applicable consumer law, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, BANNOIC disclaims implied warranties, including merchantability, fitness for a particular purpose, title, durability, and non-infringement. We do not warrant uninterrupted or error-free website or connected-service operation.
Nothing in these Terms excludes statutory guarantees, warranties, or remedies that cannot legally be excluded or limited.
1.17 Limitation of liability
To the maximum extent permitted by law, BANNOIC and its affiliates, officers, employees, agents, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, savings, goodwill, or data; or substitute-product and business-interruption costs arising from the Services or products.
Where liability may lawfully be limited, BANNOIC’s aggregate liability for a claim will not exceed the amount paid for the product or Service giving rise to the claim. These limitations do not apply to fraud, willful misconduct, death or personal injury caused by negligence where such liability cannot be limited, or other liability that applicable law prohibits us from excluding.
1.18 Indemnification
To the extent permitted by law, you agree to indemnify BANNOIC against third-party claims, damages, and reasonable costs resulting from your unlawful use of the Services, infringement of third-party rights, misuse or unauthorized modification of products, or material breach of these Terms. This provision does not apply to the extent a claim was caused by BANNOIC.
1.19 Force majeure
BANNOIC is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, fire, severe weather, epidemics, war, civil unrest, labor disruption, material shortages, power or network failures, cyberattacks, government action, customs delays, carrier disruption, or transportation interruption. We will take commercially reasonable steps to reduce the effect of the event.
1.20 Governing law and disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. State and federal courts of competent jurisdiction located in Texas will have jurisdiction, except that consumers retain any mandatory rights and may bring claims in any forum permitted by applicable consumer law.
Before filing a claim, please contact bannoic@service.com and provide your order number, a description of the issue, and the requested resolution so the parties can attempt an informal resolution.
1.21 General provisions
If any provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; BANNOIC may assign them as part of a merger, reorganization, asset transfer, or operation of law. These Terms and incorporated policies constitute the entire agreement concerning the Services, except for product-specific written terms.
